Terms of Service and End User License Agreement

These Terms of Service and End User License Agreement ("Terms") govern your access to and use of Appfero's YouTrack apps, licensing and subscription services, product documentation, checkout pages, and related support services.
By installing, enabling, purchasing, or using an Appfero app, you agree to these Terms. These Terms are intended for business and professional use with JetBrains YouTrack and do not limit mandatory rights that cannot be waived by contract.

2. Covered Apps
These Terms apply to Appfero YouTrack apps, including:
- Planning Poker Estimation
- Custom Ticket Views
- Time in Status
- Customer Satisfaction (CSAT)
- Advanced Linked Issues & Traceability
- any other Appfero YouTrack app that links to these Terms
Each app may have its own product page, documentation, marketplace listing, pricing page, checkout flow, and plan limits. Those product-specific terms apply to that app.
3. License
Subject to these Terms, payment of applicable fees, and compliance with plan limits, Appfero grants you a limited, worldwide, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the relevant Appfero app with your YouTrack instance during the applicable subscription, trial, free-tier, or offline-license period.
Appfero apps are licensed, not sold. Appfero retains all rights in the apps, source code, documentation, names, logos, and related intellectual property.
You may not copy, modify, reverse engineer, decompile, resell, sublicense, rent, lease, circumvent license controls, remove proprietary notices, or use an Appfero app to build a competing product, except where mandatory law permits it.
4. Orders, Plans, Trials, and Usage Limits
Appfero may offer free tiers, trials, paid subscriptions, annual plans, monthly plans, offline licenses, and custom enterprise plans. The applicable product, license term, billing period, plan limits, pricing, and usage metrics are those shown on the relevant product page, checkout page, order, invoice, marketplace listing, or written agreement.
You must not exceed the limits of the plan you purchased or were granted. Appfero may use reasonable technical and operational checks to apply plan limits, prevent duplicate trials and abuse, and protect service integrity.
5. Billing, Renewal, Cancellation, and Refunds
For purchases processed by Paddle:
- prices, billing cycles, renewal dates, tax treatment, and checkout terms are shown by Paddle during checkout;
- subscriptions renew automatically unless cancelled before renewal;
- cancellation stops future renewals, and access normally continues until the end of the paid term unless the order or applicable law says otherwise;
- Paddle handles checkout, payment collection, tax calculation, invoices, payment-method updates, and payment-related refund execution.
For custom enterprise or offline licenses, the applicable order form, invoice, or written agreement may define different payment, renewal, and cancellation terms.
Unless mandatory law says otherwise, Appfero does not provide prorated refunds for partial billing periods, change of mind after access begins, unsupported customer environments, breach of these Terms, license abuse, or failure to cancel before renewal.
Refunds may be considered for duplicate charges, billing errors, proven unauthorized payment, accidental purchases reported promptly before substantive use, or technical issues that prevent basic use and cannot be resolved after reasonable troubleshooting. If a refund is approved, Appfero may revoke the related license or disable paid features.
6. Marketplace and Third-Party Services
Appfero apps may be listed or distributed through JetBrains Marketplace, operated by JetBrains s.r.o. JetBrains is not a party to these Terms unless JetBrains expressly says otherwise in its own terms.
Your use of Appfero apps may also be subject to JetBrains Marketplace terms, JetBrains YouTrack terms, Paddle terms, and terms of other third-party services. Appfero is not responsible for third-party availability, policies, data handling, API changes, or outages.
7. Data Processing and Service Operation
Appfero apps primarily run inside your YouTrack environment. They do not send your YouTrack issue data, project data, saved app configuration, reports, votes, board settings, or similar in-app operational content to Appfero.
Appfero-hosted services process limited account, instance, licensing, subscription, support, and security metadata needed to provide and protect the Services. This may include customer, order, entitlement, plan, capacity, request, and application log information.
Customer Satisfaction (CSAT) includes an Appfero-hosted feedback handoff flow. When enabled, survey recipients may submit a rating and optional comment to Appfero so the app can deliver it back into the customer's YouTrack instance.
The Privacy Policy explains data categories, legal bases, subprocessors, and retention in more detail.
8. Customer Responsibilities
You are responsible for your YouTrack permissions, app configuration, backups, user notices, consents, billing contacts, customer-controlled content, and compliance with applicable law and internal policies. You must be authorized to install and administer apps in the relevant YouTrack instance.
You are also responsible for ensuring that your users and representatives comply with these Terms when using Appfero apps on your behalf.
9. Customer Data, Confidentiality, and Data Processing
You retain all rights in data and content from your YouTrack instance and other materials that you or your users submit to Appfero or that Appfero processes for you through a requested feature such as CSAT ("Customer Data"). Appfero receives only the limited license needed to host, access, process, transmit, display, store, or deliver Customer Data as reasonably necessary to provide the Services, support you, comply with law, protect rights, and enforce these Terms.
Each party must protect the other party's non-public business, technical, security, product, pricing, and operational information using reasonable care and must use it only for purposes connected with the Services or these Terms. Confidentiality obligations do not apply to information that is public through no fault of the receiving party, already lawfully known, independently developed, or lawfully received from a third party without confidentiality restrictions.
Where Appfero processes personal data on behalf of a customer as a processor, Appfero will process that personal data only to provide the Services, follow lawful documented instructions, use appropriate security measures, assist with reasonable data-protection requests where legally required, and use subprocessors only as described in the Privacy Policy or a separate data processing agreement. A separate written data processing agreement may apply where required by applicable law or agreed by the parties.
10. Acceptable Use
You must not:
- use the Services unlawfully or in violation of third-party rights;
- circumvent, disable, overload, or interfere with license controls, subscription checks, security controls, or trial limitations;
- use the Services to develop or benchmark a competing product except where mandatory law permits it;
- upload malicious code or attempt unauthorized access to Appfero, JetBrains, Paddle, or customer systems;
- use the Services to process unlawful, infringing, harmful, or privacy-invasive content;
- use the Services in safety-critical, life-critical, emergency, weapons, or other high-risk environments where failure could lead to death, personal injury, or severe environmental, financial, or infrastructure harm.
11. Support, Updates, and Compatibility
Unless a separate written agreement says otherwise, support is provided by email or Appfero's support form on a best-effort basis without a guaranteed service-level agreement.
Appfero may provide updates, fixes, compatibility changes, security updates, new features, feature removals, or documentation changes at its discretion. Appfero does not guarantee compatibility with all past, current, or future YouTrack versions, browsers, customer configurations, network environments, or third-party services.
Appfero may temporarily limit, suspend, or modify access to the Services for maintenance, security, legal, operational, or third-party platform reasons.
12. Suspension and Termination
You may stop using an Appfero app at any time, subject to the cancellation and refund terms for your order. Appfero may suspend or terminate access if you breach these Terms, exceed plan limits, fail to pay, abuse licenses or trials, create a security risk, or violate applicable law.
Upon termination, you must stop using the affected paid features or app and uninstall copies where required. Sections intended to survive termination will survive.
13. Disclaimers and Limitation of Liability
To the maximum extent permitted by law, the Services are provided "as is" and "as available." Appfero disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free operation, and compatibility with all YouTrack versions or customer environments.
To the maximum extent permitted by law, Appfero will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, business opportunity, or business interruption.
To the maximum extent permitted by law, Appfero's total direct liability arising out of or relating to the Services is limited to the fees you paid to Appfero or Paddle for the affected Appfero app during the twelve (12) months before the event giving rise to the claim.
Nothing in these Terms limits liability where limitation is prohibited by law.
14. Indemnity
You will defend, indemnify, and hold Appfero harmless from third-party claims, losses, damages, liabilities, costs, and expenses arising from Customer Data, your misuse of the Services, your breach of these Terms, or your violation of applicable law or third-party rights, except to the extent caused by Appfero's breach of these Terms or willful misconduct.
15. Changes
Appfero may update the Services, documentation, plan packaging, pricing, and these Terms. Material legal changes will be posted with a new effective date and, where reasonably practical, notice to administrative or billing contacts. Continued use after the effective date means you accept the updated Terms. If you do not agree, you must stop using the Services before the change takes effect.
16. Assignment, Force Majeure, and General Terms
You may not assign or transfer these Terms without Appfero's prior written consent. Appfero may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, change of control, or transfer of the Appfero business, provided that the assignee assumes the relevant obligations.
Neither party is responsible for delay or failure to perform caused by events beyond its reasonable control, such as outages of third-party platforms, hosting providers, payment providers, telecommunications networks, power failures, labor disputes, government actions, natural disasters, war, terrorism, or other force majeure events. Payment obligations are not excused by force majeure.
If any provision of these Terms is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. These Terms, together with applicable product pages, checkout terms, orders, invoices, marketplace listings, written agreements, and the Privacy Policy, form the agreement between you and Appfero for the Services.
Sections that by their nature should survive termination will survive, including license restrictions, payment obligations, confidentiality, customer data, disclaimers, limitation of liability, indemnity, governing law, disputes, and general terms.
17. Governing Law and Disputes
These Terms are governed by the laws of Poland, excluding conflict-of-law rules.
For B2B disputes, the parties submit to the non-exclusive jurisdiction of Polish courts. Before filing a formal claim, each party should make a reasonable good-faith effort to resolve the dispute through business-level escalation, unless urgent injunctive relief or preservation of rights is needed. Consumers retain any mandatory consumer rights and jurisdictional protections that cannot be waived by contract.
18. Trademarks and No Affiliation
YouTrack and JetBrains are trademarks of JetBrains s.r.o. Appfero is an independent vendor and is not affiliated with, endorsed by, or sponsored by JetBrains unless expressly stated in writing by JetBrains.
19. Notices and Contact
Appfero may provide notices by posting them on the Appfero website, within the Services, by email to an administrative, billing, or support contact, or through a relevant marketplace or payment provider. You should send legal, support, and billing notices to the contact below unless Appfero provides a different notice address in writing.
